I. GENERAL PROVISIONS
Article 1
These General Terms and Conditions (hereinafter: “General Terms”) regulate the business relationship between the real estate agency VIP HOLIDAY BOOKER d.o.o. (hereinafter: “Mediator”) and a private or legal person (hereinafter: “Principal”) who signs a written Real Estate Mediation Agreement with the Mediator.
The General Terms are an integral part of every Mediation Agreement.
Article 2
The Mediator performs real estate brokerage activities in accordance with the applicable legislation of the Republic of Croatia, including but not limited to:
- Real Estate Brokerage Act
- Civil Obligations Act
- Act on General Administrative Procedure
- Consumer Protection Act
- All other relevant Croatian legal regulations
Protection of personal data is carried out in accordance with GDPR (EU 2016/679), Article 8(1) of the Charter of Fundamental Rights, and Article 16(1) TFEU.
II. DEFINITIONS
Article 3
For the purposes of these General Terms, the following definitions apply:
- Mediator – VIP HOLIDAY BOOKER d.o.o., a legally registered real estate agency headquartered in Split, authorized to perform real estate mediation services.
- Real estate mediation – all actions undertaken by the Mediator with the purpose of connecting the Principal with a third party, negotiating conditions, and preparing for the conclusion of the legal transaction.
- Principal – a private or legal person who enters into a Mediation Agreement (buyer, seller, landlord, tenant, lessor, lessee).
- Third party – a person whom the Mediator attempts to connect with the Principal for the purpose of concluding the negotiated legal transaction.
- Real estate – land plots and everything permanently attached above or below the surface, as defined by Croatian property law.
- Real estate agent – a licensed real estate agent entered in the official registry of the Croatian Chamber of Commerce.
- Mediation Agreement – a written contract regulating rights and obligations between the Mediator and the Principal.
- Mediation fee (commission) – the agreed remuneration the Principal must pay to the Mediator for completed mediation services.
III. MEDIATION AGREEMENT
Article 4
By entering into a Mediation Agreement, the Mediator undertakes to introduce the Principal to a third party with whom the Principal may negotiate and conclude a legal transaction, while the Principal agrees to pay the agreed commission if such a transaction is concluded.
The Agreement is concluded for a fixed period, with the possibility of extension. It may be terminated by either party in writing, with a 15-day notice prior to expiry.
If the Principal terminates the Agreement without justified cause, the Mediator is entitled to reimbursement of actual expenses incurred, in accordance with the price list forming an integral part of these General Terms.
The Mediator may decline to enter into a Mediation Agreement based on professional assessment.
IV. EXCLUSIVE MEDIATION
Article 5
Exclusive mediation must be explicitly agreed in writing.
If, during the exclusivity period, the Principal concludes a transaction with another agency or independently, the Mediator is entitled to reimbursement of all actual mediation costs.
V. MEDIATOR’S OBLIGATIONS
Article 6
The Mediator undertakes to:
- make reasonable efforts to find and introduce a third party to the Principal;
- provide information on market conditions and realistic property value;
- inspect documentation proving ownership or other rights and warn of irregularities;
- inform the Principal about legal, tax, and financial consequences of the transaction;
- advertise and promote the property with prior consent;
- enable viewing and presentation of the property;
- participate in negotiations and aim to finalize the transaction;
- maintain confidentiality regarding the Principal and property details;
- inform the Principal about all circumstances relevant to the transaction.
VI. PRINCIPAL’S OBLIGATIONS
Article 7
The Principal undertakes to:
- provide accurate information about the property and allow document review;
- supply proof of ownership and disclose all encumbrances;
- allow property viewings to the Mediator and potential buyers;
- notify the Mediator about all relevant details, including price changes;
- pay the agreed mediation fee after the transaction is completed;
- reimburse extraordinary expenses incurred by the Mediator;
- notify the Mediator in writing of any changes related to the mediation.
VII. MEDIATION FEE
Article 8
The mediation fee is determined by the Mediation Agreement, the Real Estate Brokerage Act, and the price list of VIP HOLIDAY BOOKER d.o.o.
The Mediator earns the commission when the Principal concludes a legal transaction with a party introduced by the Mediator.
Article 9
The commission belongs to the Mediator even if the Principal concludes a transaction that differs from the originally planned one (sale, exchange, lease, rental, etc.), provided the Mediator introduced the third party.
VIII. REAL ESTATE OFFER & PRICES
Article 10
The Mediator’s property listings are based on data provided by the Principal.
The Mediator reserves the right to change or correct information in case of error or change of circumstances.
All offers and notifications are confidential. Prices are listed in EUR.
IX. PRICE LIST OF SERVICES & COMMISSIONS
Article 11
The commission is charged as a percentage of the total contract value or as a fixed amount, as defined by the Mediation Agreement.
For rentals and leases, commissions are typically calculated as 100–150% of one monthly rent, depending on the duration.
The Mediator operates within the VAT system.
X. FINAL PROVISIONS
Article 12
For all matters not regulated by these General Terms or the Mediation Agreement, the relevant laws of the Republic of Croatia apply.
Any disputes arising from mediation shall be resolved by the Municipal Court in Split, unless otherwise agreed.
